5. Roots Growth — Promos, Rewards, Points, and the Growth Market

This Section governs the Roots Growth rewards program. It applies in addition to any specific terms presented when a particular Promo, Reward, Point grant, or redemption is issued or made available to you.

5.1 Earning Points and Rewards

We may, from time to time and in our sole discretion, offer you the opportunity to earn Points or other Rewards for activities such as completing surveys and other Challenges, completing educational courses, renewing a lease, referring others, or accessing third-party services. Funding for Rewards, as applicable, may come from us, our affiliates or other third parties. Today, qualifying activity generally earns Points; in the past, similar activity may have granted promotional credits or Promos instead (see Section 5.4 on legacy Rewards).

5.2 Points

• Value and use. Points have no cash value, are not legal tender, do not accrue interest, and may be redeemed only as described in these Terms and in the Growth Market.

• Non-transferable. Points are non-transferable and may not be sold, assigned, or combined across accounts, except as we expressly permit.

• Expiration. Points do not currently expire.

• Amendment. We reserve the right to establish new governing terms to Points, or modify these existing terms, at any point in the future, in our sole and absolute discretion, which may include, but are not limited to: changing the value and use of Points, changing the transferability of Points and/or instituting an expiration period for Points.

5.3 Promos

• Expiration. Unless otherwise stated at issuance, Promos expire 12 months after the date of issue. Promo codes may also expire, or be limited in quantity or eligibility, at any time in our sole discretion. After expiration, an unused Promo is forfeited and is no longer valid or redeemable.

• Application. A Promo may take the form of a credit applied to an eligible transaction or a fee waiver, as described in the specific Promo terms.

• Non-transferable. Promos are non-transferable unless we expressly state otherwise.

• Amendment. We reserve the right to establish new governing terms to Promos, or modify these existing terms, at any point in the future, in our sole and absolute discretion, which may include, but are not limited to: changing the terms related to expiration, application and transferability.

5.4 Legacy Rewards (Issued Before the Points Model)

Before we introduced Points, certain Rewards were automatically converted into promotional credits that carried a fixed 24-month maturity cycle. Some of these legacy Rewards remain outstanding. Any Reward issued before the Points model retains the original terms shown at the time it was issued, including its 24-month maturity and any associated maturity date and early cash-out terms. These Terms also govern those Rewards, except for those specific points referenced in the previous sentences, which shall still be applicable to the legacy Rewards (with respect to automatic conversion, maturity and early cash-out terms, as applicable).

5.5 Redeeming in the Growth Market

You may redeem Points and eligible Rewards in the Growth Market for available offerings, which may include, without limitation (and which may change from time to time, in our sole and absolute discretion):

• a credit toward an investment in the Issuer (subject to Section 5.7);

• impact products and program perks;

• gift cards or merchandise; and

• other offerings we may add from time to time.

The available offerings, their Point cost, eligibility, and any conditions will be shown in the Growth Market at the time of redemption and may change at any time in our sole discretion. Some redemptions may require an active Subscription. Once you redeem, the specific terms presented at the time of redemption apply to that offering.

5.6 Redemption Limits, Caps, and Eligibility

To preserve the integrity of the Growth Market, we may impose limits and conditions on the earning and redemption of Points, Promos, and Rewards, and on the availability of any offer in the Growth Market. These may include, without limitation:

• the number of times a particular offer, item, Promo, or Reward may be redeemed;

• the number of times an offer may be redeemed within a given time period (for example, per day, per week, per month, per program cycle, or any other interval we set in our sole discretion);

• per-user limits and overall (aggregate) limits across all users;

• minimum or maximum Point thresholds, balances, or redemption amounts; and

• eligibility, sequencing, cooldown, and other conditions.

These limits and conditions may vary by offer, by user, and over time, and we may establish, increase, decrease, suspend, remove, or otherwise change them at any time in our sole discretion, including retroactively where permitted by law. The limits and conditions applicable to a given offer or redemption are those in effect or shown at the time of the offer or redemption. A redemption that exceeds an applicable limit may be declined, reversed, or voided.

5.7 Redemptions That Result in an Investment

When you redeem Points or a Reward as a credit toward an investment in the Issuer, the resulting investment is issued by the Issuer and is governed by the Offering Materials, not by these Terms. Among other things, that investment may be subject to investment limitations and an early-withdrawal penalty as described in those documents. If you attempt to cash out the invested amount prior to certain timeframes, an early-withdrawal penalty may apply, and that penalty may equal the full value of the redeemed Points or Reward — so that the promotional value is effectively forfeited if you exit early. The specific early-withdrawal terms and other information applicable to your investment will be those disclosed to you in the Offering Materials (and, if applicable, Points and/or Promo) for that investment.

5.8 Program Changes, Forfeiture, and Misuse

• Program changes. We may modify, suspend, or terminate the Roots Growth program, the Growth Market, or any Promo, Reward, or Point offering at any time in our sole discretion.

• Account closure or suspension. If your account is closed, terminated, suspended, or your access is restricted (whether by you or by us), any outstanding Points, Promos, or Rewards may be cancelled or forfeited in our sole discretion, except where required otherwise by applicable law.

• Misuse. Any misuse of Points, Promos, or Rewards — including tampering, duplicative or fraudulent claims, exceeding or circumventing redemption limits, exploitation of errors, or other manipulation — may result in forfeiture of all of your Points, Promos, and Rewards. We reserve the right to recoup or offset the value of any improperly earned or redeemed Points, Promos, or Rewards.

5.9 No Cash Value; Conflicts

Points, Promos, and Rewards have no cash value, may not be redeemed for cash, and do not accrue interest.

If there is a conflict between this Section and the specific terms presented for a particular Promo, Reward, Point grant, or redemption, these Terms govern. For any matter concerning an investment in the Issuer, the Offering Materials control (see Sections 4 and 5.7).
